Cybersecurity company Proofpoint, owned by U.S. private equity firm Thoma Bravo, has agreed to buy Israeli-founded data security firm Varonis Systems in an all-cash deal worth about $6.3 billion.

Varonis shareholders will get $49.75 per share, a 52% premium to the stock’s price before sale rumors surfaced in June.

The deal is expected to close in the first half of 2027, taking Varonis private, and it would create one of the largest pure-play cybersecurity companies, focused on data and AI security.

Varonis employs about 2,800 people, including roughly 1,000 in Israel, and CEO Yaki Faitelson said its mission is “to secure AI and the data that powers it.”

The deal adds to a wave of major U.S. acquisitions of Israeli tech firms.

Google’s purchase of Israeli-founded cloud security company Wiz closed in March 2026 for $32 billion in cash, making it Israel’s largest tech exit ever, while Palo Alto Networks completed its acquisition of CyberArk in February 2026 in a deal worth about $25 billion.

Israeli firms recorded about $70 billion in exits across roughly 110 deals in the first 11 months of 2025.

The Atlantic reports that Pete Hegseth’s plan to livestream a military execution blindsided even his closest Pentagon advisers and triggered “pretty universal revulsion” within the Trump administration.

According to the report, Trump faced private pressure from Republican lawmakers and advisers who warned that the broadcast would be barbaric, fuel ISIS propaganda and hurt Republicans in the midterms.

Trump reportedly “soured on it pretty quickly” after hearing the criticism, prompting Hegseth to abandon the livestream plan.

And they had a very bad meeting. And as you know, Putin hates Zelensky, and Zelensky hates Putin.

And when you have that kind of hatred, it's very hard to get something settled.
