Have you ever heard about Blue Pencil Rule?πŸ€”

Learn this concept A-Z in 10 Minutes

This video explains the Blue Pencil Rule (or Doctrine of Severability), a legal principle used in contract law, particularly within the context of the Indian Contract Act. The rule allows courts to remove or "sever" invalid, illegal, or unenforceable parts of a contract while keeping the remainder of the agreement valid and enforceable.

Key takeaways:

Purpose: It enables courts to salvage a contract by striking out specific offensive clauses (like unreasonable non-compete clauses) without needing to invalidate the entire document

Limitations: Courts can only delete or strike out words/clauses; they cannot rewrite the contract or create new terms. If the invalid part is so intertwined with the valid part that it cannot be separated without changing the contract's fundamental purpose, the court will declare the entire agreement void, consistent with Section 24 of the Indian Contract Act

Application: The rule is frequently applied to Section 27 (agreements in restraint of trade), where courts may trim down overly broad geographic or temporal restrictions to make them reasonable.

Key Legal Cases mentioned:

Malan v. May: Established the early use of the rule regarding restrictive covenants)

Nordenfelt v. Maxim Nordenfelt Guns and Ammunition Co.: Demonstrated how courts strike out unreasonable, globally broad non-compete restrictions.

Sh. Satellite Public Company Limited v. Jain Studios Limited: An Indian case confirming the use of substantial severability to uphold the core of an agreement.

Afcons Infrastructure v. Rail Vikas Nigam Limited: Reaffirmed the right to sever invalid portions provided the contract's core essence remains unchanged.
